1. Acceptance of Terms

By creating an account, accessing, or using Vily Box (“the Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you must not use our Service.

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service constitutes acceptance of the revised terms.

2. Eligibility

You must be at least 13 years old to use Vily Box. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you must have parental or guardian consent to use our Service.

3. Account Registration

To access certain features of Vily Box, you must create an account. You agree to:

Maintain and update your information to keep it accurate
Protect your account credentials and not share them with others
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these terms or provide false information.

4. User Conduct

You agree not to use Vily Box to:

Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of privacy, hateful, or racially objectionable
Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
Upload, post, or transmit any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party
Upload, post, or transmit any unsolicited advertising, promotional materials, spam, or any form of solicitation
Upload, post, or transmit any material containing software viruses or any other computer code designed to interrupt, destroy, or limit functionality
Interfere with or disrupt the Service or servers or networks connected to the Service
Attempt to gain unauthorized access to any portion of the Service or any other accounts, computer systems, or networks
Use any automated means, including robots, spiders, or scrapers to access the Service
Collect or harvest any personally identifiable information from the Service
Use the Service for any illegal purpose or in violation of any applicable laws

5 User-Generated Content

You retain ownership of any content you submit, post, or display on or through the Service (“User Content”). By submitting User Content, you grant Vily Box a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with operating and providing the Service.

You represent and warrant that:

You own or have the necessary licenses, rights, consents, and permissions to publish the User Content
Your User Content does not infringe any third party’s intellectual property rights
Your User Content complies with these Terms of Service and applicable laws

5.2 Copyright Infringement

We respect the intellectual property rights of others. If you believe that any content on Vily Box infringes your copyright, please contact us at support@vily.com.ng with the following information:

A description of the copyrighted work you claim has been infringed
A description of where the allegedly infringing material is located on our site
Your contact information including address, telephone number, and email
A statement that you have a good faith belief that the use is not authorized
A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner

6. Downloads and Digital Content

Vily Box provides access to various digital content including music, movies, applications, scripts, and other files (“Downloads”). By downloading any content, you agree that:

Downloads are provided for personal, non-commercial use only
You will not redistribute, resell, or commercially exploit any downloaded content
You will not modify, reverse engineer, or create derivative works from downloaded content
Some downloads may be subject to additional license terms provided with the content
We do not guarantee the availability, accuracy, or safety of any third-party downloads

7. Membership and Subscriptions

7.1 Membership Plans

Vily Box offers various membership plans with different features and download limits. By subscribing to a membership plan, you agree to:

Pay all applicable fees associated with your chosen plan
Provide accurate billing and payment information
Understand that fees are non-refundable except as expressly stated in our Refund Policy

7.2 Automatic Renewal

Membership subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel auto-renewal at any time through your account settings. Cancellation will take effect at the end of your current billing period.

7.3 Free Trials

We may offer free trials for certain membership plans. Free trials are limited to one per user. After the trial period ends, your account will automatically convert to a paid subscription unless cancelled before the trial expires.

7.4 Download Limits

Each membership tier has daily download limits as specified on our Membership page. Exceeding your daily limit will prevent further downloads until the next day. Attempting to circumvent download limits may result in account suspension.

8. Wallet and Payments

8.1 Wallet Funds

Vily Box uses a wallet system for purchases. You may add funds to your wallet through approved payment methods. Wallet funds:

Are non-refundable
Cannot be transferred between accounts
Do not expire
Can only be used for purchases on Vily Box

8.2 Purchases

All purchases made through Vily Box are final. By completing a purchase, you agree that:

You have sufficient wallet funds to cover the purchase amount
You understand what you are purchasing before completing the transaction
Digital content purchases grant you a limited license to access and use the content

8.3 Refunds

Refunds are issued only in the following circumstances:

Sponsored post submissions that are rejected by our review team
Technical errors that result in duplicate charges
As otherwise required by applicable law

9. Advertising and Sponsored Content

9.1 Advertisements

Vily Box displays advertisements throughout the Service. By using the Service, you acknowledge and accept that advertisements are part of the user experience. Premium members may have reduced or no advertisements depending on their membership tier.

9.2 Sponsored Posts

Users may submit sponsored posts for publication. All sponsored posts are subject to review and approval. We reserve the right to:

Reject any sponsored post that does not meet our content guidelines
Edit sponsored posts for clarity, formatting, or compliance
Remove sponsored posts that violate these terms or applicable laws

Sponsored posts must be clearly labeled as sponsored or promoted content.

10. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms of Service by reference. By using Vily Box, you consent to the practices described in those policies.

11. Third-Party Links and Services

Vily Box may contain links to third-party websites, services, or content that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. You acknowledge and agree that Vily Box shall not be liable for any damage or loss caused by your use of any third-party content or services.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. VILY BOX MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING BUT NOT LIMITED TO:

THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
THAT ANY ERRORS OR DEFECTS WILL BE CORRECTED
THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT
THE MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE

WE DO NOT GUARANTEE THAT ANY CONTENT YOU DOWNLOAD WILL BE SAFE, LEGAL, OR FREE FROM MALWARE. YOU DOWNLOAD AND USE ALL CONTENT AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VILY BOX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL
COST OF SUBSTITUTE GOODS OR SERVICES
DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE

IN NO EVENT SHALL VILY BOX’S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO VILY BOX IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify, defend, and hold harmless Vily Box and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

Your use or misuse of the Service
Your User Content
Your violation of these Terms of Service
Your violation of any rights of a third party
Your violation of any applicable laws or regulations

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms of Service.

Upon termination:

Your right to use the Service will immediately cease
We may delete your account and all associated data
Any unused wallet funds may be forfeited
Provisions of these terms that by their nature should survive termination shall survive

You may terminate your account at any time by contacting us or through your account settings.

16. General Provisions

16.1 Entire Agreement

These Terms of Service, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Vily Box regarding your use of the Service.

16.2 Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms of Service or any rights hereunder without our prior written consent. We may assign these Terms of Service without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
